Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Paidova ("Paidova", "we", "us"). By creating an account, accessing, or using Paidova (the "Service") you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity under your account. One person or business per account unless we agree otherwise.

2. The Service

Paidova provides invoicing, payment collection, and social/networking features for contractors and small businesses. We may add, change, or remove features at any time. We do not guarantee the Service will be uninterrupted, error-free, or that it will meet your requirements.

3. Payments, fees & payouts

Payment processing and payouts are provided by Stripe and are subject to the Stripe Connected Account Agreement. You authorize Paidova and Stripe to facilitate payments and payouts on your behalf. Paidova charges a platform fee of 0.59% per payment collected; Stripe separately charges its standard card-processing fees of 2.9% + 30¢, for an all-in total of approximately 3.49% + 30¢ per payment. These payment fees are in addition to your subscription plan. Subscription fees are billed in advance and are non-refundable except where required by law. You are solely responsible for the goods and services you sell, for any taxes, refunds, chargebacks, and disputes with your clients, and for the accuracy of your invoices.

4. Your content

You retain ownership of the content you post (invoices, profiles, posts, images, messages — "Content"). You grant Paidova a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute your Content solely to operate and improve the Service. You represent that you have the rights to your Content and that it does not infringe anyone's rights.

5. Acceptable use & prohibited content

You agree not to use Paidova to post, upload, or share any of the following. Violations are grounds for immediate suspension or permanent termination, at our sole discretion:

• Nudity, pornography, or sexually explicit content in posts, profiles, photos, messages, or anywhere on the Service.
• Content that is harassing, hateful, threatening, defamatory, or that promotes violence or discrimination.
• Illegal activity, fraud, scams, money laundering, or sale of illegal goods or services.
• Spam, deceptive, or misleading content; impersonation of any person or business.
• Malware, attempts to breach security, scrape, or disrupt the Service.
• Infringement of intellectual property or privacy rights of others.

We may remove content and investigate suspected violations. We may, without prior notice, issue a warning, suspend an account temporarily (for example 2 weeks, 1 month, or 6 months), or permanently terminate an account for violations of these Terms.

6. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. We may retain or delete your data in accordance with our Privacy Policy and applicable law.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Paidova is not a party to the agreements between you and your clients and is not responsible for the quality, safety, legality, or delivery of any goods or services transacted through the Service. Paidova does not provide legal, tax, or financial advice.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAIDOVA AND ITS OWNERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PAIDOVA IN THE 3 MONTHS BEFORE THE EVENT, OR (B) USD $100.

9. Indemnification

You agree to indemnify and hold harmless Paidova from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Content, your use of the Service, your goods or services, or your violation of these Terms or any law or third-party right.

10. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will provide notice (for example, by posting the updated Terms or asking you to re-accept). Continued use after changes take effect constitutes acceptance.

11. Governing law

These Terms are governed by the laws of the United States and the state in which Paidova is organized, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located there for any dispute not subject to arbitration.
